Usually, these companies are between 1 and 9 months old at the time of sale. They have never been trading and have no liabilities. We have already done all the preparatory work: registered the company, opened an account, etc. Bilingual company documents in German and English are included.

Our companies are registered in Berlin at the Amtsgericht Charlottenburg (sometimes also in Munich or Frankfurt). The names are assigned randomly.

The company transfer process goes like this: You name the buyer, the new director, and the shareholders. They will have to visit a notary in Germany, as the law requires that the filing of documents with the court must take place through a notary, who reads the duties to the new officers of the company and they must confirm them. If the buyers cannot travel to Germany, this can be done “remotely”. Any person acting under a power of attorney can make the declaration before a German notary. However, all persons on whose behalf the declaration is made must endorse the document in writing. This can be done at a foreign notary or at the German consulate in the country of residence.

At the time of purchase, we prepare the following for you:

  • transfer of shares to the new shareholders;
  • resignation of our directors;
  • appointment of your directors;
  • changing the name of the company (mandatory!);
  • changing the articles of association to suit your new business activities;
  • changing the registered office to your own office in Germany or a virtual office (available in any major German city);
  • certification under oath that the company has no liabilities.

All ready-made GmbH companies have a bank account in a major German bank with a balance of 25,000 euros, which allows you to confirm that you have authorized capital as required by law. You can either accept this account or open a new one at another bank.

As soon as we have the details of the new officers and shareholders, we will prepare the notarized documents. The procedure can be carried out at any German notary, not necessarily in Berlin.

Please note: there is no single company registered in Germany. Each federal state has its own register. There is no need to transfer the registration if, for example, you bought a Berlin company but want to do business in Bavaria. You can keep the company in the Berlin registry, changing only the registered office.

We will send all documents to the chosen notary who will register the changes. Copies of the notary documents are sent to the local court in Berlin-Charlottenburg, the tax office (Finanzamt), and the bank to notify the change of management.

Our representative does not personally attend out-of-town notarial procedures unless the client wishes to do so and pays our travel expenses.

One last note regarding the authorized capital of 25,000 euros: if you accept an existing bank account, it will have a full balance. It is legal to use this money to make purchases on behalf of the company, but you cannot “withdraw it” or “transfer it to anyone”. This would be considered interference with the company’s assets and would create liability for the director.
